Orange Piggy is a cloud-based service that helps you archive files and share them with your partners, colleagues and friends. Our Services are provided by Ikon Integration Inc. registered at British Columbia, Canada. ("Ikon"). This document (the "Agreement") is a legally binding agreement between you ("Customer" or "User") and Ikon; and governs the access and use of our products and services, including applications, websites and relating Software (the "Services"). If you agree to this Agreement not as an individual but on behalf of your organization, then "Customer" means your organization. In this case, this Agreement will bind your organization unless your organization has a separate agreement in effect with us. You confirm that you have the necessary authority to enter into this Agreement on behalf of the Customer before proceeding. If you are being invited to collaborate through an account set up by a Customer, i.e. you are a Company Administered User, please note that in addition to this Agreement, your access and use of the Services is subject to your organization's control. Please read this document carefully. If you sign up for, access or use our Services, you agree to this Agreement. Our mission is to create a more enlightened way of working by providing an intuitive, unified platform to keep your document archive content safe and accessible. To live up to that, we may need to modify features and functionality from time to time. If we change the Services during the term of this Agreement in a manner that materially reduces functionality or limits access to certain features, we will notify Customers at the email address associated with their account. After receiving the notice, as a Customer, you may terminate this Agreement within thirty days. In such cases, you will be provided with a pro-rata refund of any pre-payment. This termination right will not apply to updates made to features provided as Beta Services.
When you use our Services, you provide us with things like your files, content, messages, contacts, and so on ("Your Content"). Your Content is yours. These Terms don't give us any rights to Your Content except for the limited rights that enable us to offer the Services.
We need your permission to do things like hosting Your Content, backing it up, and sharing it when you ask us to. Our Services also provide you with features like sharing, searching, document previews, optical character recognition (OCR), easy sorting and organization, and personalization. To provide these and other features, Orange Piggy accesses, stores, and scans Your Content. You give us permission to do those things, and this permission extends to our affiliates and third parties we work with.
Your use of our Services must comply with our Acceptable Use Policy. Content in the Services may be protected by others' intellectual property rights. Please don't copy, upload, download, or share content unless you have the right to do so.
Orange Piggy may review your conduct and content for compliance with these Terms and our Acceptable Use Policy. We aren't responsible for the content shared via the Services.
Help us keep Your Stuff protected. Safeguard your password to the Services, and keep your account information current. Don't share your account credentials or give others access to your account.
You may use our Services only as permitted by applicable law, including export control laws and regulations. Finally, to use our Services, you must be at least 13 (or older, depending on where you live).
Some of our Services allow you to download client software ("Software") which may update automatically. So long as you comply with these Terms, we give you a limited, nonexclusive, nontransferable, revocable license to use the Software, solely to access the Services. To the extent any component of the Software may be offered under an open-source license, we'll make that license available to you, and the provisions of that license may expressly override some of these Terms. Unless the following restrictions are prohibited by law, you agree not to reverse engineer or decompile the Services, attempt to do so, or assist anyone in doing so.
We sometimes release products and features that we're still testing and evaluating ("Beta Services"). They may not be as reliable as Orange Piggy's other services. Beta Services are made available to collect user feedback, and by using our Beta Services, you agree that we may contact you to collect such feedback. Beta Services are confidential until the official launch. If you use any Beta Services, you agree not to disclose any information about those Services to anyone else without our permission.
The Services are protected by copyright, trademark, and laws. These Terms don't grant you any right, title, or interest in the Services, Orange Piggy & Ikon trademarks, logos and other brand features. We welcome feedback but note that we may use comments or suggestions without any obligation to you.
In exchange for the use of the Services, you authorize a recurring monthly or annual charge to your credit card. The recurring charge will be at the published price chosen at the time of sign-up or to a customized quote provided for your specific use. You also agree that the enrollment for the next service period is automatic and paid in advance.
We reserve the right to change our subscription plans or adjust pricing for our service or any components thereof in any manner and at any time as we may determine in our sole and absolute discretion. Except as otherwise expressly provided in these Terms of Use, any price changes or changes to your subscription plan will take effect following notice to you.
Please note that we may automatically receive updated credit card information from our merchants from time to time in cases where your account is issued a new card number, or your credit card expires. However, we still advise you to update your card manually from your profile screen when your account information changes. We need a credit card on file while the account is active.
If we cannot execute any applicable charges due to credit card denial or for any other reason, you will be notified via email. In the case of non-action by the user, the account may be cancelled. We may delay Account cancellation related to non-payment for the Services and provide a grace period of up to sixty (30) days from the due date to allow the customer to arrange payment. If the account is cancelled for any reason, user data and its backups will be removed from our storage servers.
You're responsible for all applicable taxes, and we'll charge tax when required to do so.
Your right to raise a billing discrepancy and any associated recovery is waived unless reported to us by calling our customer support line or emailing us at support@orangepiggy.cloud within sixty (60) calendar days after such discrepancy is charged to your credit card.
You must cancel your Account before it renews each month or year to avoid a charge for the next month's or year's fees to your credit card. Please note on cancellation, pro-rated refunds are issued on a case-by-case basis subject to eligibility. We will not issue any pro-rated refunds for the remaining period of a month when an account with a monthly subscription plan ("current plan") is downgraded to a smaller plan (a plan that costs less per month than the current plan). However, the new plan rate will automatically be charged, starting the next billing period.
Accounts are allowed to use storage space and download beyond the chosen plan's quota limit. This is designed to allow uninterrupted services. However, for usage beyond the quota limit, there maybe an overuse charge at the rate of $0.25/GB/month for storage and $0.17/GB for download. While it is not necessary, we encourage users to upgrade to one of the higher storage plans if their usage exceeds the quota limit for their chosen plan to minimize costs. Upgrades may involve additional charges.
We reserve the right to terminate Free Accounts at any time, with or without notice. Without limiting the foregoing, if a Free Account is inactive for ninety (90) days, then we reserve the right to terminate the Free Account without providing additional notice. An inactive account is an account where no sign-in has occurred either automatically or manually for a specified period of time.
We may decide to discontinue the Services in response to unforeseen circumstances beyond Orange Piggy control or comply with a legal requirement. If we do so, we'll give you reasonable prior notice so that you can export Your Content from our systems. If we discontinue the Services in this way before the end of any fixed or minimum term you have paid us for, we'll refund the portion of the fees you have pre-paid but haven't received Services for.
We strive to provide great Services, but there are certain things that we can't guarantee. TO THE FULLEST EXTENT PERMITTED BY LAW, ORANGEY PIGGY AND ITS AFFILIATES, SUPPLIERS AND DISTRIBUTORS MAKE NO WARRANTIES, EITHER EXPRESS OR IMPLIED, ABOUT THE SERVICES. THE SERVICES ARE PROVIDED "AS IS." WE ALSO DISCLAIM ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. Some places don't allow the disclaimers in this paragraph, so they may not apply to you.
We want to address your concerns without needing a formal legal case. Before filing a claim against Orange Piggy, you agree to resolve the dispute informally by contacting support@orangepiggy.cloud. We'll try to resolve the dispute informally by contacting you via email. If a dispute is not resolved within 15 days of submission, you or Orange Piggy may bring a formal proceeding.
Judicial Forum for Disputes. You and Orange Piggy agree that any judicial proceeding to resolve claims relating to these Terms or the Services will be brought in the courts of British Columbia, Canada.
You may only resolve disputes with us on an individual basis. You may not bring a claim as a plaintiff or a class member in a class, consolidated, or representative action. Class arbitrations, class actions, private attorney general actions, and consolidation with other arbitrations aren't allowed.
These Terms will be governed by the law of Canada except for its conflicts of laws principles. However, some countries (including those in the European Union) have laws that require agreements to be governed by the local laws of the consumer's country. This paragraph doesn't override those laws.
These Terms constitute the entire agreement between you and Orange Piggy with respect to the subject matter of these Terms and supersede and replace any other prior or contemporaneous agreements or terms and conditions applicable to the subject matter of these Terms. These Terms create no third-party beneficiary rights.
Orange Piggy's failure to enforce a provision is not a waiver of its right to do so later. If a provision is found unenforceable, the remaining provisions of the Terms will remain in full effect, and an enforceable term will be substituted, reflecting our intent as closely as possible. You may not assign any of your rights under these Terms, and any such attempt will be void. Orange Piggy may assign its rights to any of its affiliates or subsidiaries or any successor in interest of any business associated with the Services.
We may revise these Terms from time to time to better reflect:
(a) changes to the law,
(b) new regulatory requirements, or
(c) improvements or enhancements made to our Services.
If an update affects your use of the Services or your legal rights as a user of our Services, we'll notify you before the update's effective date by sending an email to the email address associated with your account or via an in-product notification. These updated terms will be effective no less than 30 days from when we notify you.
If you don't agree to the updates we make, please cancel your account before becoming effective. Where applicable, we'll offer you a pro-rated refund based on the amounts you have prepaid for Services and your account cancellation date. By continuing to use or access the Services after the updates come into effect, you agree to be bound by the revised Terms.
WE DON'T EXCLUDE OR LIMIT OUR LIABILITY TO YOU WHERE IT WOULD BE ILLEGAL TO DO SO—THIS INCLUDES ANY LIABILITY FOR ORANGE PIGGY'S OR ITS AFFILIATES' FRAUD OR FRAUDULENT MISREPRESENTATION IN PROVIDING THE SERVICES. IN COUNTRIES WHERE THE FOLLOWING TYPES OF EXCLUSIONS AREN'T ALLOWED, WE'RE RESPONSIBLE TO YOU ONLY FOR LOSSES AND DAMAGES THAT ARE A REASONABLY FORESEEABLE RESULT OF OUR FAILURE TO USE REASONABLE CARE AND SKILL OR THE BREACH OF OUR CONTRACT WITH YOU. THIS PARAGRAPH DOESN'T AFFECT CONSUMER RIGHTS THAT CAN'T BE WAIVED OR LIMITED BY ANY CONTRACT OR AGREEMENT.
IN COUNTRIES WHERE EXCLUSIONS OR LIMITATIONS OF LIABILITY ARE ALLOWED, ORANGE PIGGY, ITS AFFILIATES, SUPPLIERS OR DISTRIBUTORS WON'T BE LIABLE FOR:
i. ANY INDIRECT, SPECIAL, INCIDENTAL, PUNITIVE, EXEMPLARY, OR CONSEQUENTIAL DAMAGES, OR
ii. ANY LOSS OF USE, DATA, BUSINESS, OR PROFITS, REGARDLESS OF LEGAL THEORY.
THESE EXCLUSIONS OR LIMITATIONS WILL APPLY REGARDLESS OF WHETHER OR NOT ORANGE PIGGY OR ANY OF ITS AFFILIATES HAS BEEN WARNED OF THE POSSIBILITY OF SUCH DAMAGES.
IF YOU USE THE SERVICES FOR ANY COMMERCIAL, BUSINESS, OR RE-SALE PURPOSE, ORANGE PIGGY, ITS AFFILIATES, SUPPLIERS OR DISTRIBUTORS WILL HAVE NO LIABILITY TO YOU FOR ANY LOSS OF PROFIT, LOSS OF BUSINESS, BUSINESS INTERRUPTION, OR LOSS OF BUSINESS OPPORTUNITY. ORANGE PIGGY AND ITS AFFILIATES AREN'T RESPONSIBLE FOR THE CONDUCT, WHETHER ONLINE OR OFFLINE, OF ANY USER OF THE SERVICES.
OTHER THAN FOR THE TYPES OF LIABILITY WE CANNOT LIMIT BY LAW (AS DESCRIBED IN THIS SECTION), WE LIMIT OUR LIABILITY TO YOU TO THE GREATER OF $20 CDN OR 100% OF ANY AMOUNT YOU'VE PAID UNDER YOUR CURRENT SERVICE PLAN WITH ORANGE PIGGY.
Orange Piggy is committed to protecting your personal information. Our mission is to make privacy and security available to people and businesses. That's why we use end-to-end encryption to protect files and folders you share and store in the cloud.
We encrypt all and every transmission containing personal data using Secure Socket Layer technology (SSL) and apply additional, client-side encryption on the files and directories uploaded and stored in protected storage folders (the Encrypted Content).
Registration information When you register for our services, you submit some non-encrypted identification and contact data (such as your email address, name, address, phone number). The data that we request at the time of registration is necessary for the provision of our services. Like your name and email address, certain basic information is necessary for setting up an Orange Piggy account.
Billing information At the time of registration, you might need to provide certain billing information. You might also provide payment information, such as payment card details, which we collect via secure payment processing services. This data is necessary to provide you with Orange Piggy services. When you purchase a subscription, you also need to provide payment information, which secure processing services will handle.
Account information When you use our services, you also give us access to certain information (such as the name and permission history of your Files) necessary for your user account's provision and maintenance. To send and deliver invitations upon your instructions, Orange Piggy stores and accesses certain personal data (such as the email address, name, Orange Piggy name and its unique URL, storage account and username of the inviter and the invited person). Please note that your email address, first and last name are visible to others when you send them an invitation to accept an invitation.
Other information You may decide to share further information, including personal data, when you contact our Support or Sales Teams, submit forms on our website or otherwise communicate with us. It is solely your decision to share any detailed, non-aggregated logs, your screen or any other data with us during such communications, so our processing of such data will be based on your consent.
Information that we collect about you on our website when you visit our website, our partners and we may use cookies and other information-gathering technologies for various purposes. These technologies may provide us with personal data, information about devices and networks you utilize to access our website and other information regarding your interactions with our website. Billing We will process your Registration and Billing Information for billing purposes, i.e. to complete transactions, and send you related information, including purchase confirmations and invoices.
Communications We will send you technical notices, updates, security alerts, support and administrative messages. Please be aware that you cannot opt-out of receiving certain service messages from us, including necessary security alerts and legal notices. We also send messages about how to use the services. You may change your communication preferences at any time. Push notifications (in-app) may be sent to your device to notify you of new folders being shared or certain events or user actions regarding the user account or the user's data. To opt-out of push notifications, please edit the Account settings. Our service also enables communications between you and others. In particular, sending and delivering invitations between you and the person who invites you or whom you invited.
Development We are always looking for ways to make Orange Piggy services better, faster, smarter, and more secure. We use aggregated web statistics and logs about how people use our services and feedback provided directly to us to troubleshoot and to identify trends, usage, activity patterns and improvement of our services. We also test and analyze certain new features with some users before rolling the feature out to all users.
Marketing If you are an existing customer of Orange Piggy, we may use your email address and phone number to send you marketing communications, such as providing you with information about similar Orange Piggy products and services, unless you have opted-out. We may also use information about you, including web statistics and logs, to personalize the content and experience you receive on our websites or in our marketing communications, as well as by displaying Orange Piggy ads on other companies' websites and applications, such as on platforms like Facebook and Google. Where legally required, also seek your consent for sending marketing communications.
Security We use information about you to secure your profile, verify accounts and activity, monitor suspicious or fraudulent activity, and identify violations of our Terms of Service or Acceptable Use Policy.

Please remember that if you use our Service to share Your Content with someone, your personal data might be shared. For example, your email address, first and last name are visible by the people you send an invitation to or from whom you accept an invitation. We are not responsible for your use of any otherwise personal data, which you make available to others via invitations or the activities of other users or other third parties to whom you give or make available your information.
Do we share your personal data with third parties? We will share your personal data with third parties only following this policy. We will never sell your personal data to third parties. However, we may need to share some information, including personal data, we obtain from your use of our service in the following circumstances.

Content shared by you Information, including personal data, will be shared with a third-party when you share content using our service with a third party. You acknowledge that once you shared all or a part of your Content by using our service with any person who accepted your invitation, such content goes out of your control and remains accessible to the extent you granted access. Accordingly, we ask you to pay special attention to with whom you share your Content.
Downloading content When content is shared with you – either by accepting, downloading, assessing an Orange Piggy link or invitation – certain information regarding your activity might also be disclosed to the shared party.
Administrators The Administrator may be able to view certain information about your interactions with the relevant Subscription. Such information may include your email and activity. If you register an individual account and the domain of your email address is owned by an organization and was assigned to you as an employee, contractor or member of the organization, we may help your Administrator find your account by sharing some basic information about your account (such as your email address).
Business transactions We may assign or transfer this Policy and your account and related information and data, including any personal information, to any person or entity that acquires all or substantially all of our business, stock or assets, or with whom we merge.
Testimonials From time to time, we may post testimonials on our website that may contain personal data. We obtain your consent to post your name along with your testimonial. If you wish to update or delete your testimonial, you can contact us at support@orangepiggy.cloud.
Where do we transfer your data? Orange Piggy is a company organized and existing under the laws of Canada. We primarily store your data in Amazon Web Services Canadian facilities. Your data stored with us may also be transferred to other AWS facilities outside Canada for security and redundancy purposes. Security We take appropriate technical and organizational measures to protect your personal data against loss or other forms of unlawful processing.
Confidentiality We NEVER collect or store your files, encryption keys and passwords in an unencrypted or invertible form.

Withdrawal of consent In cases where your personal data processing is based on your consent, you can withdraw your consent at any time by editing account settings. Also, you can contact us at support@orangepiggy.cloud. If you withdraw your consent, we will no longer process your personal data for the relevant purpose. However, please note that such withdrawal of your consent does not affect our processing activities' lawfulness based on consent before its withdrawal.
Changes to this policy As with every high-quality service, our service is constantly improved to keep users satisfied, but these improvements necessarily mean changes. Due to the law's ongoing changes and the changing nature of technology, data practices are changing from time to time. Thus, we reserve the right to alter or modify this policy when it is necessary. If there are any material changes to this policy, you will be notified 30 days before the change becomes effective. We encourage you to periodically review this page for the latest information on our privacy practices.
